1. Introduction and Acceptance of Terms

These Terms of Service govern the provision of garden and landscaping-related services by Maple Grove Gardenworks Ltd., located at 1452 Dundas Street East, Mississauga, ON L4X 1L4, Canada. By requesting, booking, approving, receiving, or paying for services from Maple Grove Gardenworks Ltd., you agree to be bound by these Terms of Service.

These terms apply to all customers, property owners, tenants, agents, and other persons who request or receive services from Maple Grove Gardenworks Ltd. If you are requesting services on behalf of another person, business, condominium corporation, landlord, property manager, or organization, you represent that you have authority to bind that party to these terms.

If you do not agree with these terms, you must not use or request services from Maple Grove Gardenworks Ltd.

2. Scope of Services

Maple Grove Gardenworks Ltd. provides garden and property maintenance services, including but not limited to:

The exact scope of services, schedule, frequency, materials, estimated timelines, and pricing will be set out in a quote, estimate, work order, service agreement, invoice, email confirmation, or other written communication issued or approved by Maple Grove Gardenworks Ltd.

Unless expressly agreed in writing, services do not include arborist-certified tree removal, hazardous tree work, pest extermination, hardscaping, irrigation installation, structural work, grading, drainage engineering, electrical work, or any service requiring a specialized licence, permit, or professional certification outside the ordinary scope of garden maintenance.

Maple Grove Gardenworks Ltd. may decline, postpone, modify, or stop work where site conditions are unsafe, inaccessible, unsuitable, unlawful, or materially different from those disclosed by the customer.

3. User Obligations and Responsibilities

You agree to provide accurate, complete, and timely information necessary for Maple Grove Gardenworks Ltd. to perform the requested services. You are responsible for ensuring that Maple Grove Gardenworks Ltd. has safe and reasonable access to the property at the scheduled service time.

Your responsibilities include, without limitation:

Maple Grove Gardenworks Ltd. is not responsible for damage or delays resulting from inaccurate information, undisclosed hazards, lack of access, improper site conditions, or failure by the customer to meet these obligations.

4. Payment Terms and Conditions

Prices may be provided as fixed fees, hourly rates, recurring service fees, estimates, or project-based quotes. Unless expressly stated otherwise, all prices are in Canadian dollars and are subject to applicable taxes, including Harmonized Sales Tax where required by law.

Payment terms will be stated on the applicable quote, invoice, service agreement, or written confirmation. If no specific payment deadline is stated, payment is due upon receipt of invoice.

Maple Grove Gardenworks Ltd. may require a deposit, advance payment, or retainer before scheduling or beginning services. Deposits may be applied toward labour, materials, scheduling, planning, plant orders, mulch, soil, disposal arrangements, or other project costs.

You agree to pay all amounts invoiced, including applicable taxes, material costs, disposal fees, delivery charges, permit-related costs if applicable, and any additional work authorized by you. Additional work outside the original scope may require a revised quote or may be billed at the applicable hourly or service rate.

Late payments may result in suspension or cancellation of services. Maple Grove Gardenworks Ltd. may charge interest on overdue amounts at the lesser of 2% per month or the maximum rate permitted by applicable law, plus reasonable collection costs, administrative fees, and legal expenses incurred in recovering unpaid amounts.

Recurring maintenance services may be billed weekly, biweekly, monthly, seasonally, or as otherwise agreed. You remain responsible for payment for services performed even if you are absent from the property, provided the services were completed or attempted in accordance with the service arrangement.

5. Cancellation and Refund Policy

Customers should provide as much notice as possible for cancellations or rescheduling requests. Unless otherwise agreed in writing, cancellations made less than 24 hours before a scheduled service may be subject to a cancellation fee to cover scheduling, labour allocation, travel, and administrative costs.

Maple Grove Gardenworks Ltd. may reschedule services due to weather, safety concerns, equipment issues, material availability, illness, road conditions, emergency circumstances, or other operational factors. Garden services are weather-dependent, and rain, extreme heat, snow, frozen ground, high winds, poor visibility, or unsafe conditions may affect scheduling and completion.

Refunds are not provided for services already performed. If you are dissatisfied with completed work, you must notify Maple Grove Gardenworks Ltd. promptly and provide a reasonable opportunity to inspect and, where appropriate, correct the issue. The availability of any corrective work, credit, or refund will be determined by Maple Grove Gardenworks Ltd. acting reasonably and subject to applicable consumer protection laws.

Deposits for custom-ordered plants, soil, mulch, supplies, design preparation, special materials, or reserved service dates may be non-refundable to the extent costs have been incurred or resources have been allocated. Refunds, if any, will be processed using a reasonable method determined by Maple Grove Gardenworks Ltd.

For recurring services, either party may terminate the arrangement by providing reasonable notice, unless a written contract specifies a different notice period or minimum term. Amounts owing for work already completed, materials ordered, or costs incurred remain payable.

6. Liability Limitations

Maple Grove Gardenworks Ltd. will perform services with reasonable care and skill consistent with ordinary industry practices for garden maintenance services in Ontario. However, outdoor garden work is affected by weather, soil conditions, pests, disease, sunlight, watering, drainage, wildlife, customer maintenance, and other factors beyond the control of Maple Grove Gardenworks Ltd.

To the maximum extent permitted by applicable law, Maple Grove Gardenworks Ltd. will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of enjoyment, loss of use, loss of profits, loss of business, diminution in property value, or replacement landscaping costs, whether arising in contract, tort, negligence, strict liability, or otherwise.

Maple Grove Gardenworks Ltd. is not responsible for:

Where liability cannot be excluded under applicable law, the total aggregate liability of Maple Grove Gardenworks Ltd. for any claim relating to services will be limited to the amount paid by the customer for the specific service giving rise to the claim, except where such limitation is prohibited by law.

Nothing in these terms limits liability for gross negligence, wilful misconduct, fraud, or any liability that cannot legally be excluded or limited under applicable Canadian or Ontario law.

7. Intellectual Property Rights

All business names, logos, service descriptions, website content, photographs, text, graphics, proposals, maintenance plans, garden bed concepts, planting layouts, designs, documents, templates, and other materials created or provided by Maple Grove Gardenworks Ltd. are owned by or licensed to Maple Grove Gardenworks Ltd., unless otherwise stated in writing.

You may use documents, designs, quotes, or recommendations provided by Maple Grove Gardenworks Ltd. solely for your personal or internal property-related purposes in connection with the services. You must not copy, reproduce, publish, distribute, sell, modify, or use such materials for commercial purposes without prior written consent from Maple Grove Gardenworks Ltd.

Unless you notify Maple Grove Gardenworks Ltd. in writing that you object, you grant Maple Grove Gardenworks Ltd. permission to take and use non-confidential photographs or videos of completed garden work for portfolio, marketing, educational, website, social media, or promotional purposes, provided that Maple Grove Gardenworks Ltd. will not intentionally publish your personal contact information without consent.

8. Data Protection and Privacy

Maple Grove Gardenworks Ltd. collects, uses, and discloses personal information only as reasonably necessary to provide services, communicate with customers, prepare quotes, schedule appointments, process payments, manage accounts, comply with legal obligations, improve operations, and protect lawful business interests.

Personal information may include your name, address, phone number, email address, service location, billing information, communications, service preferences, property access details, and payment-related records. Maple Grove Gardenworks Ltd. will handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act where applicable.

Maple Grove Gardenworks Ltd. may share limited personal information with service providers, payment processors, suppliers, subcontractors, professional advisers, insurers, or government authorities where necessary for service delivery, business administration, legal compliance, safety, or dispute resolution.

Maple Grove Gardenworks Ltd. uses reasonable physical, organizational, and technical safeguards appropriate to the sensitivity of the information. However, no method of transmission or storage is completely secure, and Maple Grove Gardenworks Ltd. cannot guarantee absolute security.

You may contact Maple Grove Gardenworks Ltd. to request access to or correction of your personal information, subject to legal limits and reasonable verification of identity.

9. Force Majeure

Maple Grove Gardenworks Ltd. will not be liable for any delay, failure, or interruption in performance caused by events beyond its reasonable control, including but not limited to severe weather, storms, flooding, snow, ice, extreme temperatures, fire, natural disasters, power outages, equipment failure, labour shortages, illness, epidemics, pandemics, supply chain disruptions, transportation delays, strikes, civil unrest, government orders, changes in law, municipal restrictions, or unsafe site conditions.

If a force majeure event occurs, Maple Grove Gardenworks Ltd. may suspend, reschedule, modify, or cancel affected services without liability, provided that amounts for services already performed, materials purchased, or costs reasonably incurred remain payable.

10. Changes to Terms

Maple Grove Gardenworks Ltd. may update or modify these Terms of Service from time to time to reflect changes in services, business practices, legal requirements, or operational needs. The updated terms will apply to services requested, booked, renewed, or performed after the updated terms are made available or communicated to you.

For ongoing or recurring services, continued use of services after notice of updated terms constitutes acceptance of the revised terms. If you do not agree to the revised terms, you may discontinue future services, subject to payment of all outstanding amounts and any applicable cancellation terms.

11. Applicable Law and Jurisdiction

These Terms of Service and any dispute, claim, or matter arising from or relating to services provided by Maple Grove Gardenworks Ltd. are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any mandatory rights you may have under applicable consumer protection laws, the courts located in Ontario will have jurisdiction over disputes arising from or relating to these terms or the services provided by Maple Grove Gardenworks Ltd.

Nothing in these terms limits any non-waivable rights or remedies available to consumers under applicable Canadian or Ontario consumer protection legislation.

13. Severability Clause

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court or other authority of competent jurisdiction, that provision will be severed or modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

The failure of Maple Grove Gardenworks Ltd. to enforce any provision of these terms does not constitute a waiver of that provision or of any other rights or remedies available to Maple Grove Gardenworks Ltd.
